Public issue of 50,050,000 new ordinary shares in Ocean Fresh ("Shares") in the following manner:

- 10,510,000 new Shares made available for application by the Malaysian public;
- 1,710,000 new Shares made available for application by eligible directors, employees and persons who have contributed to Ocean Fresh's success; and
- 37,830,000 new Shares made available by way of private placement to selected investors.
