IPO in conjunction with the listing of Kucingko on the ACE Market comprising:

(i) Public issue of 100,000,000 new ordinary shares in Kucingko ("Shares") in the following manner:

- 25,000,000 new Shares available for application by the Malaysian public;
- 10,000,000 new Shares available for application by the eligible directors and employees as well as persons who have contributed to Kucingko;
- 65,000,000 new Shares available by way of private placement to selected investors; and

(ii) Offer for sale of 100,000,000 existing shares by way of private placement to selected investors.
