Hibiscus raises RM235m from IPO which is oversubscribed

PETALING JAYA: Main Market-bound Hibiscus Petroleum Bhd has raised a total of RM235mil from its initial public offering (IPO) and enjoyed 3.8 times oversubcription of its public portion of shares.

However the public portion only represented a mere 3% of its IPO shares. The bulk of the IPO proceeds came from a placement of 265 million new Hibiscus shares to selected investors, which raised a total of RM199mil. The IPO price of Hibiscus shares is 75 sen per share.

Due to the oversubscription of the public portion, which was only made up of 10 million shares, the company had re-allocated 38 million more shares to the retail portion, under “the clawback provision set out in the prospectus,” Hibiscus said in a press release.
Pereira: ‘Our next phase is to acquire operating companies, businesses or assets.’

Hibiscus officials declined to reveal the identities of the selected investors who took up the placement shares.

Some commentators have expressed scepticism over Hibiscus' proposition. It is the region's first special-purpose acquisition company (SPAC) and the first independent local oil and gas exploration and production company to be listed here.

Essentially, being a SPAC means that Hibiscus is a shell company with no product, no earnings, no track record nor operations. The company will use the money raised from its IPO to acquire assets not yet at this point made public to generate earnings.

Thus, the entire idea of the business may be viewed as risky, especially among risk averse investors.

It is largely about convincing the investing milieu on the prowess of the company's management, managing director Dr Kenneth Pereira said in an earlier interview with StarBizWeek.

In that sense, he said a SPAC should be no different.

“After all, don't all investors put their trust in the company's management when they invest in its shares?” he said.

In the press release, Hibiscus said the combined IPO funds raised from the public subscription and placement to selected investors of RM235mil represented an excess of RM85mil or 57% over the minimum of RM150mil required to be raised by SPAC under the Securities Commission Equity guidelines.

It said the funds raised through the exercise placed the company in a “good position” to capitalise on the opportunities available in the oil and gas exploration and production industry in the South Asia, Middle East, East Asia and Oceanic regions.

“We look forward to embarking on our next phase, which is to acquire operating companies, businesses or assets,” Pereira said in the release.

Hibiscus is scheduled to be listed on July 25.
 
Pasaran saham dijangka naik

KUALA LUMPUR 15 Julai - Pasaran saham tempatan dijangka berada dalam arah aliran menaik selepas pembentangan Bajet 2012 pada 7 Oktober nanti kerana dianggap sebagai Bajet Pilihan Raya.

Naib Presiden dan Ketua Penyelidikan Runcit Affin Investment Bank (AIB), Dr. Nazri Khan berkata, ini kerana inti pati jangka pendek dalam pembentangan itu menjadi penentu tarikh pilihan raya.

Beliau berkata, pasaran meramalkan Pilihan Raya kali ke-13 akan diadakan pada Februari dan Mac.

Katanya, tidak mungkin kerajaan mahu mengadakan pilihan raya ini pada November ini kerana ribuan umat Islam menunaikan haji di Mekah.

''Jadi, pada pandangan AIB, bulan Februari adalah masa terbaik untuk memasuki pasaran,'' katanya kepada Utusan Malaysia di sini.

Malah, tambah beliau, pasaran dijangka terus teguh sekiranya terdapat petanda-petanda awal Barisan Nasional mampu mengekalkan penguasaan dua pertiga dan memiliki semula sekurang-kurangnya dua negeri yang ditakluk pembangkang.

Berdasarkan ramalan itu, AIB berpendapat arah aliran kenaikan pasaran sehingga 65 peratus akan berlaku secara konsisten dua bulan sebelum pengumuman pilihan raya.

Namun, katanya, kenaikan itu tidak mampu menandingi lonjakan sebelum Tahun Baru Cina yang mencapai 75 peratus.

Ditanya mengenai maklum balas pasaran terhadap kerajaan, Dr. Nazri berkata, setakat ini pasaran sangat berpuas hati dengan prestasi Perdana Menteri, Datuk Seri Najib Tun Razak berbanding ketika kerajaan di bawah Tun Abdullah Ahmad Badawi.

Dalam pada itu, beliau berkata, AIB meramalkan Bursa Malaysia akan berada dalam momentum positif untuk mencapai paras 1,630 mata hingga 1,650 mata pada tahun ini.

Tambahnya, AIB menyarankan pembelian bagi saham-saham perbankan, pembinaan serta minyak dan gas.

Beliau berkata, antara syarikat pembinaan yang mendapat perhatian pasaran ialah Gamuda kerana mendapat banyak manfaat daripada Program Transformasi Ekonomi dan MRCB pula bakal mengumumkan projek Sungai Buloh

Saham SP Setia dan Sun City dijangka turut menjadi perhatian kerana terlibat dalam projek-projek di Iskandar Malaysia, Johor Bahru, Pulau Pinang dan Kuala Lumpur.

Hibiscus ni klu masa listing nanti bukak kat IPO price RM0.75 pun dh dpt untung sbb dia sertakan sekali warrant yg exercise price dia pada RM0.50. So teoritikal warrant dia bernilai RM0.25..tu tk tambah dgn premium lagi..:D
